Introduction and Acceptance
These Business Terms and Conditions (“Business Terms”) govern the use of Ratelivo’s services by business users. Ratelivo B.V. (“Ratelivo”, “we” or “us”) operates an online reviews platform that allows consumers to leave feedback and businesses to manage their profiles and engage with those reviews. By creating a business account or otherwise accessing or using Ratelivo’s business features, you (the business entity or authorized representative, referred to here as “you” or “Business”) agree to be bound by these Business Terms, in addition to our general User Terms and Privacy Policy. If you do not agree with these terms, you must not use Ratelivo’s services as a business.
Please read these terms carefully. They describe your rights and responsibilities when using our platform as a business, and they form a legally binding agreement. We may update or modify these Business Terms from time to time to reflect changes in our services, technology, or legal requirements. If we make material changes, we will provide notice (for example, by email or through a notification on our website). Your continued use of the Ratelivo platform after updated terms are posted constitutes your acceptance of those changes. If you have any questions about these terms, you can contact our support team for clarification.
Business Accounts and Eligibility
Account Registration: To use Ratelivo’s business features, you must create a business account or claim your business profile on our platform. You represent and warrant that you are an authorized representative of the business you register/claim, with the authority to bind the company to these Terms. During registration, we will ask for information about the business (such as official business name, address, phone number, website, and a contact email) and about you as the representative (name, title/role, and contact information). You agree to provide accurate, current, and complete information, and to keep it updated as needed. Ratelivo reserves the right to reject or suspend an account if we suspect the information is false, misleading, or if you are not truly affiliated with the business.
Eligibility: You must be a legitimate business entity (such as a company, partnership, or sole proprietor) or an authorized agent of one. The platform is intended for businesses that are reviewed or listed on Ratelivo by consumers. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create a business account. By accepting these terms, you affirm that the business is operating legally and that using Ratelivo’s services does not violate any applicable laws or regulations relevant to your industry.
Account Security: You are responsible for maintaining the confidentiality of your account login credentials. You should use a strong, unique password and safeguard it. Any activity that occurs under your account will be presumed to be authorized by you. If you suspect unauthorized use of your account or a security breach, you must notify Ratelivo immediately. We are not liable for any loss or damage arising from unauthorized access due to your failure to secure your credentials.
Authorized Users: A business account may allow multiple authorized users (e.g., employees managing the profile). If you invite or allow others to manage the account on your behalf, you are responsible for their actions on the platform. Ensure that any user of your business account abides by these Business Terms. You should regularly review who has access to your account and revoke access for individuals who no longer should have it (for example, former employees).
Account Verification
To maintain the integrity of our platform, Ratelivo may require verification of your business account. Verification procedures could include confirming your business email domain, providing proof of business registration or identity documents, or other information to validate that you are a legitimate representative of the business. We may also verify ownership of claimed business profiles (for instance, by calling the business phone number on record or sending a verification code to the official business email).
If you do not successfully complete a required verification step, certain features of the platform may remain disabled or your account may be suspended or unverified publicly. For example, Ratelivo might label a profile as “Unverified” until the process is completed. We reserve the right to remove or reclaim a business profile if we determine that a claim was made by an inauthentic or unauthorized person.
All data and documents you provide for verification will be used solely for that purpose and handled in line with our Privacy Policy. Misrepresenting your identity or affiliation during verification is a serious breach of these terms and can result in immediate termination of your account.
Free and Paid Plans
Ratelivo offers both free and paid subscription plans for businesses. Every business can access Ratelivo’s basic features for free, and we also provide premium services under paid plans (sometimes called “premium” or “enterprise” accounts). This section outlines the differences:
- Free Plan (Standard Business Account): Creating a basic business profile on Ratelivo is free. With a free account, you can claim or set up your business listing, customize your profile with basic information, and use core features such as responding to customer reviews. Free accounts include access to a limited analytics dashboard (e.g., summary statistics of your ratings and reviews), and email notifications when new reviews are posted. The free plan ensures that every business, regardless of size or budget, can maintain a presence on Ratelivo and engage with customers.
- Paid Plans (Premium Features): Ratelivo also offers paid subscriptions for businesses that want enhanced features and more robust tools. Paid plans are offered on a monthly or annual subscription basis (various tiers may be available). By subscribing to a paid plan, you gain access to advanced functionalities beyond the free plan:
- Advanced Analytics: Detailed insights into review trends, customer sentiment analysis, and performance over time. For example, premium analytics may show charts of ratings over the last year, common keywords in feedback, and comparative benchmarks.
- Promotional Tools: Tools to leverage your Ratelivo reviews in marketing. This can include widgets to display live Ratelivo ratings on your website, the ability to create and share testimonial graphics or social media posts featuring positive reviews, and possibly the option to highlight a “Featured Review” on your profile.
- Advertising & Visibility Upgrades: Ability to purchase or utilize advertising features on the Ratelivo platform. Paid business users can run ads or sponsored placements – for instance, having your business appear in a featured section or at the top of search results for relevant categories. Additionally, paid plans may offer visibility upgrades such as higher prominence in category listings, a special badge on your profile (e.g., “Verified Business” or premium branding), and inclusion in promotional spots within our site or emails. (Note: While these features increase your exposure, they do not allow hiding or removing any reviews.)
- Customer Interaction Tools: Some paid tiers might include the ability to send private replies to reviewers (where appropriate), or to invite customers to review you via email campaigns or shareable links. We may also offer integration with third-party customer service or CRM tools.
- Account Support: Premium plan subscribers may receive priority customer support and onboarding assistance. For example, a dedicated account manager or faster response times from Ratelivo’s support team for any issues or questions.
The specifics of free vs. paid features may evolve, and we will provide details on our website or in your dashboard about what each plan includes. In all cases, businesses on paid plans are subject to the same content guidelines and cannot interfere with user reviews (see Reviews and Content section below). The paid plans are meant to offer better tools and exposure, but not to influence the substance of reviews.
Upgrading, downgrading or canceling: You can upgrade from a free plan to a paid plan at any time by selecting a subscription tier in your account settings or contacting our sales team. If you downgrade from a paid plan to free (for example, at the end of a billing cycle), you will lose access to premium features at the next renewal date, but your profile and existing reviews will remain intact. If you cancel a paid subscription, we will not delete your business profile; it will simply revert to the free feature set. We do not hide or erase data (like past analytics) when downgrading, but you may no longer be able to see or use that data once premium access is removed.
Features and Services for Businesses
As a business user of Ratelivo, you have access to a suite of features designed to help you manage your online reputation and engage with customers:
- Business Profile Management: You can create and manage your business’s profile page on Ratelivo. This includes adding or editing information such as your business name, description, contact details, website link, hours of operation, logos and photos. Keep information accurate and up-to-date so that users can trust the details they see. All content you add must comply with our content standards (no inappropriate material or false claims). You are responsible for the information you publish on your profile.
- Responding to Reviews: Businesses have the ability to publicly respond to customer reviews on their profile. Through your account dashboard, you can post a response beneath a user’s review – for example, to thank a customer for a positive review or to address a concern raised in a negative review. Responses should be professional, courteous, and abide by our Acceptable Use rules (no personal attacks, abusive language, or sharing someone’s personal data). Remember that your responses are visible to all users and represent your business’s voice. Ratelivo encourages constructive dialogue: address complaints tactfully and appreciate praise graciously. Note: While you can respond, you cannot edit or remove the user’s original review (see Reviews and Content below for details on review policy).
- Analytics Dashboard: All business accounts have access to a dashboard with analytics about your reviews and ratings. Free accounts will see basic metrics (e.g., average star rating, total number of reviews, recent activity). Paid accounts unlock more in-depth analytics (as described earlier) like trend analysis, filtering reviews by time period, and other insights. Use these analytics to understand customer satisfaction and identify areas for improvement in your business.
- Promotional/Marketing Tools: Ratelivo provides tools to help you promote your reputation. For instance, you may generate a shareable link or widget to invite your customers to leave a review on Ratelivo. We may also offer you a way to embed your Ratelivo rating or a stream of recent reviews on your own website or social media, to build trust with your audience. Premium users might have access to specialized marketing assets, such as a “Rated on Ratelivo” badge or templates to create social media posts featuring customer feedback. All use of our branding or widgets must follow any brand guidelines we provide and be used in a fair, non-misleading manner.
- Advertising Opportunities: Businesses looking for additional visibility can utilize Ratelivo’s advertising features. This may include purchasing sponsored listings, where your business is highlighted in relevant search results or category pages, or running display ads on certain sections of the platform. Advertising content must be submitted in accordance with our advertising policies (which will be provided if you engage in ads) and is subject to approval. We clearly distinguish sponsored content or listings from organic, unpaid results. Note that advertising with Ratelivo will increase your exposure but will not affect or alter the content or ordering of organic user reviews in any way.
- Upgraded Visibility and Endorsements: As part of certain paid packages, Ratelivo may provide features like a verified profile status or priority placement. For example, a paid business might have a “Verified Business” badge indicating we have verified certain company details. Or your business might appear in a “Featured Businesses” carousel for your category or region. These features aim to enhance consumer confidence and direct more traffic to your profile. However, all such features are offered at Ratelivo’s discretion and may be subject to criteria (e.g., maintaining a certain review score or complying with all guidelines). We reserve the right to modify or revoke visibility perks if a business violates our terms or if we discontinue a particular program.
All services are provided “as is” and as available. We strive to provide useful tools, but we do not guarantee any specific outcomes (for example, we cannot guarantee that using our analytics or ads will improve your sales or your review scores). It remains the business’s responsibility to deliver quality products and services to earn positive reviews organically.
Reviews and Content Policy
Ratelivo’s platform is built on trust and transparency in customer feedback. User reviews are the opinions of individual consumers and are fundamental to our service. As a business using Ratelivo, it is critical to understand and respect the following:
- No Removal of Reviews for Payment: Under no circumstances can businesses pay to delete or hide user reviews. Ratelivo does not offer any service, paid or otherwise, that allows a business to remove legitimate reviews or influence their visibility based on payment. All user-submitted reviews — positive, negative, or neutral — will remain published as long as they meet our content guidelines and policies. We maintain a strict separation between our revenue-generating services (such as ads or premium features) and our content moderation. Paying Ratelivo for a subscription or advertising will not and cannot buy the removal of unwanted feedback. This policy ensures the integrity of our platform and the trust of consumers.
- User Review Guidelines: Reviews on Ratelivo must adhere to our Guidelines for Reviewers (available on our site). For example, we do not allow hate speech, personal threats, or obviously fraudulent reviews. If a review violates these rules, Ratelivo may remove it at our discretion, but only Ratelivo can do so – businesses cannot unilaterally remove or censor reviews. If you encounter a review that you believe breaches our guidelines (e.g., it’s defamatory, vulgar, or clearly about the wrong business), you may flag it for our team’s attention. We will then investigate and take appropriate action (which could include removing or editing the review, or leaving it unchanged if it doesn’t violate policies). We apply the same standards to all reviews platform-wide, regardless of whether a business is paying us or not.
- Responding to Reviews: As noted, you have the right to post a public response to any review on your business profile. In doing so, you must follow the Acceptable Use provisions of these terms. Do not include insults, retaliatory threats, or personal information about the reviewer in your responses. Even if a review is negative or unfair in your view, your response should remain professional and focused on resolving issues. Potential customers often read how businesses respond to feedback; a measured and constructive reply can turn a negative impression into a positive one. Ratelivo may remove or edit a business’s response if it contains content that violates our policies (for example, harassing the reviewer or disclosing private data). We will typically notify you if a response is removed and explain the reason.
- Business-Provided Content: Aside from reviews (which are user-generated content), businesses may upload or provide content to the platform. This includes the information on your profile (e.g., descriptions, logos, images) and any content in your review responses or advertisements. You retain ownership of the intellectual property rights in the content you provide. However, by providing content on Ratelivo, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, display, and distribute that content on our platform and in marketing materials related to Ratelivo’s services. This license is necessary for us to show your business information and responses on our site. You represent that you have all necessary rights to upload the content you provide (for instance, you have rights to your logo and any photos you post, or permission to quote any text you submit). Do not upload content that infringes someone else’s copyrights or trademarks, or that violates any privacy or publicity rights.
- Accuracy of Content: You are responsible for ensuring that all content you contribute (business descriptions, location, hours, etc.) is accurate and not misleading. Misrepresenting your business (e.g., claiming to be “#1 in the city” without evidence, or posting false addresses) can lead to content removal and account consequences. If your information changes (like you move location or change your official name), update your Ratelivo profile promptly.
- No Fake or Manipulative Reviews: You agree that you will not post reviews for your own business or for competitors, and you will not induce others to leave fraudulent feedback (such as employees posing as customers, or paying for positive reviews). Likewise, you will not harass or pressure customers to remove or change a review. Any attempt to manipulate the review system – including offering incentives exclusively for positive reviews or selectively soliciting reviews only from satisfied customers – is strictly prohibited. Ratelivo reserves the right to take action if we detect such behavior, including labeling your profile with a warning, removing affected reviews, or suspending your account. We aim to ensure reviews remain a genuine reflection of customer experiences.
- Platform Moderation: While Ratelivo is not responsible for the content users post, we act as a neutral host and have moderation systems to uphold our guidelines. We employ a combination of automated filters and human moderators to detect spam or policy-violating content. Businesses should understand that not all negative reviews will be removable; a low-star review that is genuine and respectful of our rules will stay on the site. Our role is not to arbitrate factual disputes between a customer and business – we typically will not remove a review simply because a business disputes the customer’s account of what happened. However, you have the opportunity to post your side of the story in a response. If a dispute arises that you believe involves false assertions that legally amount to defamation, you can contact us with supporting evidence, and we will evaluate under our defamation policy. We may also advise seeking resolution directly with the reviewer or through legal channels if appropriate, but our default stance is to leave content up if it doesn’t clearly violate law or our policies.
In summary, Ratelivo’s content policy for businesses can be encapsulated as: engage but don’t interfere. We encourage you to actively manage your reputation by responding to feedback and improving your services based on insights. But attempts to game the system or silence customers are against these Terms and the spirit of our platform. Maintaining trust in the reviews is paramount; thus, we enforce these rules uniformly to all businesses.
Acceptable Use and Prohibited Activities
When using Ratelivo’s platform and tools as a business, you agree to conduct yourself lawfully and ethically. You must not misuse our services or engage in activities that harm the platform or its users. The following is a non-exhaustive list of prohibited actions for business users:
- No Illegal or Harmful Use: You may not use Ratelivo for any unlawful purpose. This includes (but is not limited to) posting any content that is defamatory, fraudulent, obscene, harassing, or that violates any applicable laws or regulations. Do not use the platform to engage in or facilitate money laundering, gambling operations, hate speech, or any other illegal activities.
- No Exploitation of User Data: If you gain access to personal information of individuals through Ratelivo (for example, if a user voluntarily provides contact info in a review or you receive data through a feature), you must handle that information in compliance with privacy laws. You are not allowed to scrape, harvest, or collect users’ personal data from our site for marketing or any purposes outside managing your presence on Ratelivo. Additionally, you must not contact reviewers outside of Ratelivo’s platform unless the reviewer has given permission or it’s through an avenue provided (like if they request follow-up). Never retaliate against or dox a reviewer for a negative review – this includes exposing their identity or personal details without consent.
- No Spam or Unauthorized Marketing: You may not use Ratelivo to send unauthorized advertisements or solicitations. For instance, do not post comments or responses that are pure marketing not related to a specific review, and do not mass message users. Any invitations or promotional messages to customers should be done through official features (like our review invitation tool) and in line with applicable anti-spam laws (e.g., only contacting customers who have consented to be contacted).
- No Platform Abuse: Do not introduce malware, viruses, or any harmful code to the Ratelivo website or app. You must not attempt to hack, overload, “DDOS,” or otherwise interfere with the proper functioning and security of the platform. Also, you may not use bots or automated systems to create accounts or scrape data. Any attempt to reverse engineer our software or APIs without permission is prohibited.
- No Misrepresentation or Fraud: You must not impersonate Ratelivo or its staff, or falsely imply an association with Ratelivo. For example, do not say or imply that Ratelivo endorses your business beyond what is stated (using our widgets in accordance with guidelines is fine, but claiming an award or partnership without basis is not). Do not misuse badges or verification symbols – if Ratelivo grants you a verified status or badge, use it as intended. Any fraudulent behavior on your part – such as attempting to claim a business that isn’t yours, or posting fake reviews as mentioned – violates these Terms.
- No Selling or Trading Accounts/Reviews: Your business account is meant for the company it is registered to and is not transferable without our consent. You may not sell, lease, or rent your Ratelivo business account or profile. Likewise, you cannot purchase reviews or incentivize review manipulation. We also prohibit running contests or promotions that require a review on Ratelivo as the only way to enter – reviews should be voluntary and honest.
- Respect for Others: You will treat Ratelivo staff and users with respect. If you interact with our customer support or account managers, refrain from abusive or threatening language. Similarly, in community features or public responses, do not harass or attack individuals. We understand disputes can become heated, but we expect professional conduct from business users representing their companies.
If you engage in any of the above prohibited actions, Ratelivo may take action including removing content, suspending or terminating your account, and if necessary, pursuing legal remedies. We may also cooperate with law enforcement if activities are criminal.
Subscription and Billing Terms
This section applies to businesses that purchase paid plans or any paid services (such as advertising credits or upgrades) from Ratelivo:
- Fees and Payment: By subscribing to a paid business plan or ordering a paid feature, you agree to pay the fees indicated for that service. Pricing and payment terms will be presented to you before you confirm a purchase (for example, on the sign-up page for a premium plan or in an order form). All fees are stated in the applicable currency (e.g., Euros for EU-based businesses) and are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes (such as VAT) or duties, except for taxes based on Ratelivo’s income. We will charge the payment method you provide (such as a credit card or direct debit) for recurring subscription fees on the schedule disclosed (e.g., monthly or annually in advance).
- Auto-Renewal: Subscription plans will automatically renew at the end of each billing cycle (month-to-month or year-to-year) unless you cancel beforehand. By entering into a subscription, you authorize Ratelivo to charge your chosen payment method automatically upon renewal for the applicable fees. We will email you a receipt or invoice for each charge. If our pricing or terms of a subscription change, we will notify you in advance (typically at least 30 days prior to renewal). If you do not agree to a price increase or change in terms, you may cancel the subscription before the new terms take effect.
- Billing Information: You must provide current, complete, and accurate billing information. If your payment details (such as billing address or credit card number) change, you need to update them promptly in your Ratelivo account settings. If a payment fails or cannot be processed, we will notify you and may retry the charge. If we cannot collect payment within a specified grace period, we reserve the right to suspend or downgrade your service to the free plan until payment is resolved. You agree to bear any costs associated with failed payment collection (for example, bank fees due to insufficient funds).
- Cancellation: You may cancel a subscription at any time via your online dashboard or by contacting our support team. If you cancel, your subscription will not renew on the next billing date. You will retain access to paid features until the end of the period you have paid for. After that, your account will revert to the free plan (unless you choose to close your business profile entirely). We do not generally provide refunds for partial months or unused periods after cancellation. For example, if you pay for a year and decide to cancel after 6 months, you will continue to have premium access for the remaining 6 months, but you would not receive a refund for the unused time unless required by law or explicitly stated in a promotion.
- Upgrades and Downgrades: If you upgrade your plan in the middle of a billing cycle (e.g., move from a basic paid tier to a higher tier), the upgrade will usually take effect immediately, and a prorated charge for the difference in plan price may be applied or the billing date adjusted accordingly (we will inform you of how the proration works at the time of upgrade). If you downgrade your plan, the change will typically take effect at the next renewal date to avoid interrupting any already-paid service. Downgrading may result in loss of access to some features and data associated with higher tiers, so proceed with caution and consider exporting any data you need before downgrading.
- Refunds: Except as required by consumer protection law or other applicable law, fees are non-refundable. Ratelivo offers services that are digital and delivered immediately; once a premium feature is enabled or an ad campaign is run, the service is considered rendered. However, if you believe there has been a billing mistake or you encountered an issue with our service that warrants a credit, please contact us and we will review on a case-by-case basis. In some cases, we might provide prorated refunds or account credits as goodwill, but this is at our discretion. If we terminate your paid account without cause (not due to your breach), we will refund the unused portion of your prepaid fees.
- Late Payments: If payment is not received on time, and you have not canceled, your account may accrue late fees or interest as allowed by law (for example, interest at X% per annum on overdue amounts in some jurisdictions). We also reserve the right to accelerate the due date of the remaining contract value (if you had an annual commitment, for instance) in cases of non-payment. We will attempt to notify you of payment issues, but it is ultimately your responsibility to ensure payments are made. Continuous payment failure may result in collections efforts and you agree to pay reasonable costs of collection, including legal fees, if it comes to that.
- Promotional Trials or Discounts: If you are on a free trial or introductory discount for a paid plan, the terms of the trial or discount (such as duration and price after the period) will be presented to you. After the trial or promotional period ends, you will be charged the normal rate unless you cancel. Trials are limited to one per business (or per user) unless otherwise stated. Any abuse of trial offers (such as creating multiple accounts to get repeated free trials) is a violation of these Terms.
Termination of Service
Both you and Ratelivo have the right to terminate or suspend this agreement under certain circumstances:
- By the Business (You): You may terminate your business account or stop using Ratelivo’s services at any time. You can do this by giving written notice to us or through any account closure functionality we provide. Termination means you will no longer have access to the business dashboard or tools, and your business profile may be marked as “unclaimed” or removed from our searchable listings at our discretion. Reviews that users have posted about your business will typically remain on Ratelivo (attached to an unclaimed profile) even after you terminate your account, as those reviews are user content. If you simply wish to cease paid services but keep the profile, you can downgrade to a free plan instead of full termination. Upon your request, we can also delete certain data associated with your account, in line with our Privacy Policy (excluding content that we must retain or that users have posted publicly).
- By Ratelivo (Suspension or Termination): Ratelivo may suspend or terminate your business account for cause if you violate any of these Business Terms, the User Terms, or any applicable law/regulation. For example, if we find that you have engaged in serious misconduct such as posting fake reviews, misusing personal data, or committing unlawful acts through the platform, we may disable your account immediately and possibly remove your business listing. In less severe cases of breach, we will typically send you a warning and opportunity to remedy the issue before taking further action. Ratelivo also reserves the right to terminate the agreement without cause by providing you notice (for instance, if we decide to discontinue the business services platform, or if we determine in good faith that continuing to provide services to you is impractical or may create legal risk). If we terminate without cause and you have a paid subscription, we will refund any prepaid amounts for the period after termination.
- Effect of Termination: Upon termination of your account, whether initiated by you or us, your right to access the business-only features of Ratelivo ceases. Any licenses you granted to us for your content survive to the extent necessary for us to continue operating the platform (for instance, the license to display a review response you authored may persist unless you ask us to remove your responses). Sections of these Terms that by their nature should survive termination (such as indemnities, limitation of liability, governing law, etc.) will remain in effect. If an account is suspended, that is a temporary measure – we will either lift the suspension when the issue is resolved or move to termination. During suspension, you might be unable to log in or use features, but these Terms still apply.
If you believe your account was terminated or suspended in error, you can contact Ratelivo to request a review. We will review the circumstances and, if appropriate, may reinstate the account with or without conditions. However, Ratelivo’s decision on termination is final and not subject to appeal in cases of clear violations.
Finally, termination of your business account does not automatically terminate any separate agreements you may have with Ratelivo (for example, if you signed a separate advertising contract, that contract’s terms regarding termination and liability would apply in addition to these Terms).
Disclaimer of Warranties
Ratelivo provides the platform and all services “as is” and “as available.” To the fullest extent permitted by law, Ratelivo disclaims all warranties, express or implied, regarding the business services and the platform. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that might arise from course of dealing or usage of trade.
Specific notes on this disclaimer:
- We do not guarantee that the platform will be available 100% of the time, free from errors, or completely secure. While we strive for high uptime and have security measures in place, occasional downtime, maintenance windows, or technical issues may occur. We will attempt to provide advance notice for scheduled maintenance, but we may not be able to do so for unplanned outages.
- We do not warrant that the information provided through the platform (including analytics data, review content, or materials in the business dashboard) is complete, accurate, or up-to-date. For example, user reviews reflect individual opinions which may be subjective or not verified by us, and analytics are provided as a tool but may not capture every nuance of your customer feedback.
- No advice or information (oral or written) obtained from Ratelivo or through the service shall create any warranty not expressly stated in these terms. You acknowledge that using Ratelivo’s business tools and relying on user-generated content is at your own risk. We encourage you to backup any important data (for example, download your reviews or analytics periodically if needed).
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by law. However, in such cases, our warranties are limited to the minimum scope permitted by applicable law.
Limitation of Liability
To the extent permitted by law, Ratelivo’s liability to you is limited. We (including our affiliates, officers, directors, employees, and agents) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, loss of business opportunity, loss of goodwill, or loss of data, even if we have been advised of the possibility of such damages. This limitation applies to all claims, whether based in contract, tort (including negligence), strict liability, or any other legal theory.
In particular, Ratelivo will not be liable for:
- Actions of Users: We are not responsible for what users (reviewers or others) post or do on our platform. If a user posts a defamatory or harmful review, our liability is limited by law as a host of that content. We did not author it, and while we provide a mechanism to address it (per our guidelines and legal obligations), we are not liable for the statements of third parties. Similarly, if a user misuses your responses or if any third party uses our platform inappropriately towards your business, we aren’t liable for those third-party actions.
- Business Outcomes: Any decisions you make based on reviews or analytics (such as changing your services or how you treat customers) are your responsibility. We don’t guarantee that using Ratelivo will improve your business performance or that you will receive a certain number or quality of reviews. Any financial losses or missed opportunities on your part that you attribute to your presence or activities on Ratelivo are not our liability.
- Technical Issues: If there is an error on our site that causes data loss or a temporary issue that affects your profile’s visibility or your ad campaign performance, we will try to correct it, but our liability will be limited. For example, if a bug causes your business listing to be down for a day, we may extend your advertising campaign or subscription by a day as a courtesy, but we wouldn’t be liable for, say, the revenue you think you lost during that day.
In any event, if despite the above limitations, Ratelivo is found liable for any claim arising out of or related to these Business Terms or our services, our aggregate liability to you (for all claims combined) shall not exceed the total amount of fees you paid to us in the twelve (12) months preceding the event giving rise to the liability or, if you have not paid us any fees (for example, if you only used the free services), fifty (50) Euros, whichever is greater. This limitation ensures that our risk is proportionate to the service fees, if any, that we have received.
Some jurisdictions do not allow the limitation of liability for certain types of damages (for example, in certain countries, liability for gross negligence or willful misconduct cannot be limited, or consumer protection laws may give you specific rights). In any such case, the above limitation shall apply to the fullest extent permitted by law.
Indemnification
You agree to indemnify and hold harmless Ratelivo and its affiliates, officers, directors, employees, and agents, from and against any and all third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) that arise out of or relate to: (a) your use of the Ratelivo platform and business services, (b) any content you or your authorized users provide (such as your profile information or responses), (c) your breach of these Business Terms or any policy incorporated by reference, or (d) your violation of any law or the rights of a third party.
In plain terms, if someone else (for example, a customer or a competitor) sues Ratelivo because of something you did – like you posted something unlawful or you engaged in fraudulent behavior using our platform – then you will cover our costs and damages in that claim. We will: (i) promptly notify you of any such claim (provided that a delay in notification will not remove your indemnification obligation unless it materially prejudices your ability to defend), (ii) give you the right to control the defense and settlement of such claim, provided you don’t settle any matter in a way that admits fault or imposes obligations on Ratelivo without our consent, and (iii) provide you with reasonable cooperation at your expense. We reserve the right to participate in the defense with counsel of our choice at our own expense.
This indemnification clause continues to apply even if you stop using the platform or your account is terminated.
Governing Law and Dispute Resolution
These Business Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
If you are a business operating in another country, you agree that the choice of Netherlands law as governing is a fair choice given Ratelivo’s base of operations. These terms are written in English (which will be the controlling language in interpretation) and intended to comply with applicable EU and Dutch regulations.
Jurisdiction: In the event of any dispute, claim, or controversy arising out of or relating to these Business Terms or your use of the Ratelivo services as a business (collectively, “Dispute”), the parties shall first attempt to resolve it informally. Please contact us to discuss any concern, and we will do our best to resolve the issue in good faith. If we cannot resolve the Dispute amicably, then, subject to any mandatory arbitration or mediation requirements under applicable law, the courts of the Netherlands shall have exclusive jurisdiction to adjudicate the Dispute. You and Ratelivo consent to the personal jurisdiction of the Dutch courts. Unless otherwise required by law, venue shall lie in the competent courts of Amsterdam, Netherlands.
For clarity, nothing in this section prevents either party from seeking injunctive relief or any urgent legal remedy in any appropriate jurisdiction if necessary to prevent irreparable harm (for example, to stop a data breach or intellectual property infringement). However, the interpretation of these Terms will still be under Netherlands law in such proceedings.
If you are located in a jurisdiction that mandates a different governing law or venue (such as a specific state’s law in the United States for governmental entities, etc.), please contact us to discuss – otherwise, by default, Netherlands law and courts apply.
Miscellaneous
- Entire Agreement: These Business Terms, along with any other documents expressly incorporated by reference (such as our Privacy Policy, User Terms, and any additional service-specific terms you accept), constitute the entire agreement between you and Ratelivo regarding business use of our platform. They supersede any prior agreements or understandings (written or oral) concerning the subject matter. Any conflicting terms a business tries to impose (for example, on a purchase order or an NDA) are excluded unless we separately sign an agreement.
- No Waiver: If Ratelivo does not enforce a provision of these terms on any occasion, it does not mean we waive the right to enforce it in the future. Similarly, no waiver of any term shall be deemed a further or continuing waiver of that term or any other term.
- Severability: If any provision of these Business Terms is held to be invalid or unenforceable by a competent court or authority, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full effect. We can mutually agree to substitute any invalid provision with a valid one that closest reflects the original intent.
- Assignment: You may not assign or transfer any of your rights or obligations under these terms to a third party without Ratelivo’s prior written consent. Any attempt to do so without consent will be null. Ratelivo may assign these terms (in whole or part) as part of a merger, acquisition, sale of business or assets, or by operation of law, or to any affiliate.
- Relationship: Nothing in these terms creates any agency, partnership, or joint venture between you and Ratelivo. Both parties are independent contractors. You do not have authority to bind Ratelivo, and we do not have authority to bind you in your business operations.
- Notices: Ratelivo may send you notices and communications electronically (for example, via the email associated with your account or through in-dashboard alerts). You are responsible for keeping your contact information up to date and for reviewing any notices we send. Formal legal notices to Ratelivo should be sent to our registered business address (available on our website) with a copy to our legal department email (if provided in these terms or our site).
