Welcome to Ratelivo! These Terms of Use (“Terms”) govern your access to and use of the Ratelivo website and services (the “Platform”). By using Ratelivo, you agree to these Terms, so please read them carefully. If you do not agree, you should discontinue use of our Platform.

Ratelivo is an online platform for sharing and discovering business reviews. We provide a space for individuals (“Users”) to post reviews of businesses, and for businesses to read and respond to that feedback. Our aim is to maintain an open, fair, and constructive community. Anyone can read reviews on Ratelivo, and anyone can write a review of a business as long as they follow these Terms and have had a genuine experience with that business.

By contributing content on Ratelivo (including reviews, comments, messages, and any other material), you agree to adhere to our content guidelines:

Content Moderation: Ratelivo reserves the right to remove or edit any user-submitted content that violates these guidelines or for any reason in our sole discretion. We also use automated systems and community flagging to help identify problematic content. If your content is reported or flagged by others, we may examine it and determine whether it complies with our standards. We may also ask you for additional information about your experience (e.g., a receipt or proof that you were a customer) if a review’s authenticity is in question.

We allow users to contribute reviews without publicly disclosing their identity to encourage open feedback. However, anonymous or pseudonymous reviews face the same standards as identified reviews, and in some cases are subject to greater scrutiny:

When you post content on Ratelivo, you retain ownership of your content, but you grant Ratelivo a worldwide, non-exclusive, royalty-free, perpetual license to use, display, reproduce, distribute, adapt, and create derivative works from your content. This license allows us to publish your reviews on our Platform and in related promotional materials or research. For example, we might quote a snippet of your review in a blog post about trending customer opinions (with credit to your username). This license survives even if you remove your content or terminate your account, but we will stop displaying your original content on the Platform after removal or account deletion (it may persist in backups or if it’s been shared elsewhere, etc.). You also grant fellow users and businesses on Ratelivo the right to view your content and share it (for instance, a business may share your review in their marketing, which is allowed as long as they attribute it to Ratelivo).

By posting content, you promise that you have the necessary rights to that content and that you’re not infringing or violating any third-party rights by submitting it. You are solely responsible for what you post on Ratelivo.

Ratelivo’s basic features are free for consumers: it costs nothing to sign up, read reviews, or write reviews. However, we offer optional paid services to enhance the experience for both reviewers and businesses:

All users and businesses must understand that paying for any Ratelivo service does not allow you to break the rules or alter the fundamental fairness of our platform. For example, a business subscriber cannot pay to remove reviews or influence their content, and a premium user cannot pay to have an illegitimate review kept up. We maintain a strict separation between content integrity and monetization. (As noted, companies on Ratelivo (just like on other major platforms) aren't allowed to offer incentives or pay to hide reviews) If we find abuse of our paid features (for instance, attempts to bribe users for positive reviews or misrepresentation of identity through “verified” badges), we may revoke those features and no refund will be due for misuse.

All content and materials on the Ratelivo Platform (excluding user-generated reviews) are the property of Ratelivo or our licensors, protected by intellectual property laws. This includes our trademarks and logo, the design and layout of the website, text and content created by our team (such as articles or help resources), and software code. You agree not to copy, distribute, modify, or create derivative works from our proprietary content without express permission. You may, of course, share public pages or use functionalities we provide (like the share buttons or API if available) to distribute content through permitted channels.

Ratelivo provides this Platform on an “as is” and “as available” basis. While we strive to maintain a high quality of service, we cannot guarantee that the site will be uninterrupted, error-free, or immune from security breaches. Use of Ratelivo is at your own risk. We make no warranty or representation about the accuracy or reliability of the content (including reviews) on our site – those are submitted by users, and while we moderate for guideline compliance, we do not verify every statement. Businesses should not rely on any particular review as fact, and consumers should use their judgment and consider multiple opinions.

To the fullest extent allowed by law, we disclaim all warranties, express or implied, regarding Ratelivo and any content on it, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of information.

In no event shall Ratelivo or its founders, employees, or affiliates be liable for any indirect, consequential, exemplary, incidental, or punitive damages arising from or relating to your use of (or inability to use) our Platform. This includes, without limitation, loss of profits, business reputation, data, or other intangible losses. Direct damages (to the extent they can’t be disclaimed) are limited to the amount (if any) you have paid us in the last six months for a specific service or EUR €100, whichever is less.

We are not responsible for any defamatory, offensive, or illegal conduct of any user or third-party on the Platform. Your sole remedy for dissatisfaction with Ratelivo or any content is to stop using the site or to notify us so we can consider removing or correcting the problematic content.

Some jurisdictions do not allow certain disclaimers or limitations of liability, so parts of this section may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.

You agree to indemnify and hold harmless Ratelivo and its officers, directors, employees, and agents from and against any third-party claims, losses, liabilities, demands, or expenses (including reasonable attorney’s fees) arising out of or related to your content, your use of the Platform, your violation of these Terms, or your violation of any laws or rights of any third-party. This means if someone else sues us because of something you did on Ratelivo (for example, a business claims your review is defamatory and you actually lied in that review), you may be responsible for the costs incurred.

You are free to stop using Ratelivo at any time. Likewise, we reserve the right to suspend or terminate your account or access to some or all of our Platform at any time, especially if we believe you have violated these Terms or any applicable law. We will generally provide notice and reasoning for any permanent ban unless legal considerations prevent us from doing so. Keep in mind that even after an account is terminated, content you posted may remain if it was already shared publicly (we typically remove reviews when an account is deleted, but not if they were posted without an account; those we handle case-by-case upon request).

Sections of these Terms that by their nature should survive termination (such as Content License, Disclaimers, Liability, Indemnification, and Governing Law) will continue to apply even after an account is closed or these Terms are ended.

Ratelivo may update these Terms of Use from time to time. If we make significant changes, we will notify users by posting the updated Terms on our website with a new “Last Updated” date, and in some cases, we may send an email notification or display an alert when you log in. Continued use of Ratelivo after changes become effective constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you should stop using the Platform.

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. By using Ratelivo, you agree that any disputes arising out of or relating to these Terms or your use of the Platform that cannot be resolved amicably will be subject to the exclusive jurisdiction of the competent courts in Amsterdam, Netherlands. If you are a consumer residing outside of the Netherlands, you may also have rights to bring proceedings in your country of residence under certain consumer protection laws – these Terms do not limit any such rights you might have.
